ShiftNinja Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of the ShiftNinja platform and services (“ShiftNinja,” “we,” “us,” or “our”). By creating an account, subscribing to a plan, or using the Services, you agree to be bound by these Terms.
1. Services Provided
ShiftNinja is a workforce scheduling and operations platform designed for hospitality and service-industry businesses. Services may include employee scheduling, time tracking, internal messaging, task management, reporting, and compliance-related tools.
ShiftNinja does not provide payroll processing, human resources services, legal advice, or tax advice. Any compliance-related tools are informational only and do not replace professional guidance.
2. Accounts & Authorized Users
Accounts are intended for business use. You are responsible for maintaining the confidentiality of login credentials and for all activity occurring under your account.
You are responsible for ensuring that all users accessing your account are authorized and comply with these Terms.
3. Acceptable Use & Conduct
You agree not to use the platform to post, transmit, or store any content that is:
- Illegal, fraudulent, or misleading
- Harassing, threatening, abusive, or discriminatory
- Obscene, pornographic, or indecent
- Defamatory or invasive of privacy
- Infringing on intellectual property rights
This applies to all communications, including internal chat messages, notes, files, and user-generated content.
ShiftNinja reserves the right to remove content, suspend access, or terminate accounts that violate these standards, with or without prior notice.
4. Suspension & Termination
ShiftNinja may suspend or terminate access to the Services if we reasonably believe that:
- These Terms have been violated
- Illegal or abusive activity has occurred
- Use of the platform poses a security or legal risk
- Payment obligations are not met
Suspension or termination may be immediate and without liability to ShiftNinja.
5. Data Ownership & Administrative Access
You retain ownership of your data. By using ShiftNinja, you grant us a limited license to store, process, and analyze data as necessary to operate the Services.
Authorized ShiftNinja personnel may access account data — including user profiles, schedules, chats, and activity logs — solely for:
- Customer support
- Security and fraud prevention
- Compliance with legal obligations
- Enforcement of these Terms
ShiftNinja does not monitor content routinely but reserves the right to review data when reasonably necessary.
6. Billing & Payments
Subscriptions are billed on a recurring basis according to the selected plan. All fees are non-refundable once charged.
Failure to pay may result in suspension or termination of Services.
LIQUORexam® training credits included with certain plans are valid for one (1) year from issuance and do not roll over.
7. Training Credits & Commitment Requirement
To receive any LIQUORexam® or other third-party training credits included with a ShiftNinja subscription, Customer must commit to a minimum one (1) year subscription term following the conclusion of any free trial or promotional period.
If Customer cancels, terminates, or downgrades the subscription prior to completion of the one-year commitment period, Customer agrees to immediately pay the full retail value of all training credits issued or made available during the subscription term.
- Credits are non-refundable and have no cash value
- Credits expire one (1) year from issuance
- Unused credits do not carry over
Failure to remit payment for training credits upon early cancellation may result in invoicing, account suspension, or collection efforts.
8. Cancellations
You may cancel your subscription at any time through your account settings. Access will continue through the end of the current billing period.
No refunds are issued for unused time or services.
9. Disclaimer of Warranties
The Services are provided “as is” and “as available,” without warranties of any kind, express or implied. ShiftNinja does not guarantee uninterrupted or error-free service.
10. Limitation of Liability
To the maximum extent permitted by law, ShiftNinja’s total liability shall not exceed the amount paid by Customer to ShiftNinja in the three (3) months preceding the event giving rise to the claim.
ShiftNinja shall not be liable for indirect, incidental, consequential, or punitive damages.
11. Indemnification
You agree to indemnify and hold harmless ShiftNinja and its affiliates from any claims, damages, or liabilities arising from your use of the Services or violation of these Terms.
12. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.
13. Modifications
ShiftNinja may update these Terms at any time. Continued use of the Services constitutes acceptance of the updated Terms.
